About 30,000 to 50,000 companies are registered annually in Bulgaria. 90% of them fail and are not operational. Changes to the Commerce Act, which simplify the procedure for closing "dormant companies", have been published for public discussion. The aim is to ease the closure of thousands of companies that have never had a business, employed no staff and are not registered under VAT. Now the procedure takes from 1 to over 5 years.
The changes envisage that the process would take a one-stop visit to the Registration Agency. The applicant will declare that they have no activity in the past 12 months, have not hired staff during this period, have no VAT registration, and have no debts to the state, municipalities or to the revenue agency.
